What could your next chapter look like?

No financial documents needed to begin.

Austin Business Brokers Office helps owners identify the records needed after a Texas business sale. Closing a sales tax location is one step, rather than proof that every tax account is finished.

Bring these records to your advisor

  • Final operating date and sales reconciliation
  • Unsold inventory and tax treatment
  • Account closure confirmation and continuing activities

Report through your last business date

The Comptroller requires a sales tax return covering sales through the last date of business when a location closes. Reconcile receipts and the transaction cutoff with your bookkeeper.

Review remaining inventory with your CPA. Items purchased tax free for resale can have use tax consequences if they were diverted to personal or business use.

Identify what actually stops

A sale may close one location while the seller continues another activity. Continued taxable business in Texas can leave collection and filing responsibilities in place.

Use the Comptroller account process for closing the appropriate location. Keep the confirmation and supporting records with the sale documents.

Do not close the entity by accident

Franchise tax obligations and Secretary of State termination are separate questions. A seller carrying a note or retaining assets may still need the entity.

Make a closing list with your CPA showing each account, final return, payment and responsible person. The buyer should separately confirm its own registration requirements.

Have your CPA confirm the final sales tax reporting and which locations or accounts should remain open.
